1.Acceptance of the Terms and Conditions    Top

Welcome to GamePlayCash.com (the "Website") and thank you for reviewing our Terms and Conditions. This agreement (the "Agreement" and the "Terms") is a contract between You ("User," Users," "You" and "Your") and Arcadia Interactive Limited, a limited liability company, incorporated and regulated under the Laws of Malta and with registered number C 46183 and with its registered office Palazzo Pietro Stiges, Malta, operating under the brand name GamePlayCash.com ("GamePlayCash.com", the "Company", "Us", "We" and "Our”) and governs Your use of the GamePlayCash.com website, its content, the software and the associated materials made available through this website (collectively, the "Site").

GamePlayCash.com offers only games of Skill / Dexterity Games (“Skill Games”) on the Site. Games of chances are explicitly excluded from the Site.

Use of the Website is subject to the Terms and Conditions set forth below. Please read carefully the following Terms and Conditions. If You do not agree to the Terms and Conditions, do not use the GamePlayCash.com Website.

The Company reserves the right, in its sole and absolute discretion, to refuse service and access to any potential User. GamePlayCash.com reserves the right to amend the Website's Terms and Conditions at any time. In the event We do so, We will post the changes on this page and the date of the changes at the top of this page. Your continued use of the Website following such modifications signifies Your acceptance of those modifications.

If You have already established a GamePlayCash.com Account and You do not wish to continue to be bound by this Agreement, You should terminate Your Account in accordance with Section 7 of this Agreement.

You understand and accept that GamePlayCash.com is unable to provide You with any legal advice or assurances and that it is Your sole responsibility to ensure that at all times You comply with all laws that govern You, civil and criminal.If you have any questions, GamePlayCash.com encourages You to seek independent legal advice in Your jurisdiction prior to clicking on the "ACCEPT" button/checking any box to indicate your acceptance of terms. By clicking on the "ACCEPT" button/checking any box to indicate Your acceptance of terms and/or continuing to access and/or use the services You are legally bound by this Agreement.

GamePlayCash.com makes no representations as to whether the applicable laws in Your jurisdiction permit You to place bets with a licensed organization outside Your jurisdiction. It is the obligation of each customer opening an account or depositing monies with GamePlayCash.com to determine whether his or her actions are in conformity with local laws.

YOU ACCEPT SOLE RESPONSIBILITY FOR DETERMINING WHETHER YOUR USE OF THE PRODUCTS IS LEGAL IN THE LOCAL JURISDICTION. If Your use of the Products is illegal you may not be entitled to collect any winnings and GamePlayCash.com reserves the right to recover any winnings already received by You and to report You to the relevant authorities.

2.Eligibility    Top

GamePlayCash.com reserves the right to refuse payment of any winnings if it has reason to believe that the client has acted improperly. We do this for the protection of our honest customers and of the integrity of the games offered on the Site.

You must be a natural person and be at least eighteen (18) yeas old or the age of legal consent applicable in your country for becoming a GamePlayCash.com member. We expressly reserve the right to request proof of age, at any time.

You must qualify and agree to the conditions set forth below. Failure to qualify and continuously abide by any of the following conditions constitutes a breach of this Agreement. Specifically, You agree that:

• You possess the legal authority to enter into this Agreement including the authority to accept all of these Terms;

• You have verified and determined that Your use of the Site Services does not violate any law or regulation in any jurisdiction that applies to You. It is Your sole responsibility to ensure that this is the case.

• You acknowledge that in establishing Your User Account You have provided us with certain personal information. You agree that we can disclose, from time to time, certain personal information to third parties and You consent to all such disclosures. Please see our Privacy Policy for further information (Section 9 of this Agreement);

• You agree that your User Account is for Your sole use only and must not be used by any third party. You shall not allow any third party to use Your User Account, password, Log-In or User ID to access or use the Site to arrange, enter, and/or participate in Skill Games, or for any other purposes. You shall not reveal to any person Your means of payment to access or use the Site, to enter in Skill Games Tournaments. We take no responsibility for any third party access to Your Skill based Tournament Account;

• You fully understand the methods, rules and procedures of the Site services, and Your use of the Site and services will always comply fully with this Agreement, the Privacy Policy and the Skill based Tournament Rules;

• You will not engage in any conduct that injures or may injure the business, reputation or goodwill of the Company;

• You are fully aware that there is a risk of losing money by using the Site to arrange, enter, and/or participate in Skill based Tournaments and that You are solely responsible for any such loss;

• You are solely responsible for recording, reporting, paying and accounting to any relevant governmental or taxation authority for any tax or other levy that may be payable on your winnings on GamePlayCash.com;

• Your Skill based Tournament Account is for Your personal use only and it will not be used by You for commercial purposes or in the course of any trade or business;

• You shall not infringe or encroach upon GamePlayCash.com or any third party's personal, contractual or proprietary rights, including, without limitation, patents, trademarks, copyrights, rights of privacy or publicity or trade secrets;

• You will not use the Site or services for gambling, or to otherwise participate in games of chance; should you learn that any User is soliciting participation in gambling, you will immediately notify GamePlayCash.com in writing;

• You understand that GamePlayCash.com may monitor Your Internet access location, without creating an obligation to do so, and may use techniques which are intended to block or restrict access from a jurisdiction in which participation in the Site Services and/or Skills Challenges are illegal or restricted;

• You will not mask your identify in any way, including without limitation, IP masking by accessing the Site Services over any type of Proxy Server, through IP masking software or the like;

• You understand that the Provider has no ability to control the outcomes of your Skill based Tournaments, and we only provide the Site as a facility to match up.

• You acknowledge that GamePlayCash.com is not a financial institution and therefore you do not expect interest on any deposits effected into your account;

• By accepting any winnings, you consent to use of Your name for advertising and promotional purposes without additional compensation except where prohibited by law;

• The laws and regulations governing Tournaments with entry fees and/or cash prizes are determined by individual states and/or local jurisdictions. We do not warrant that our Site and/or Services are in compliance with all the laws and regulations in any localities, including Your locality. It is Your responsibility to ensure compliance with the laws and regulations of Your locale. Please be certain to use the Services and participate in the Skill Games Tournaments only after You have determined in good-faith that they are in compliance with state, local and other governing laws and regulations

3.Legal Compliance    Top

You are subject to, and are solely responsible for obeying all laws of the country, state, or province in which You reside and from which You access the Site, Log-In to the Site or participate in any Skill based Tournament. You agree to only participate in the Skill based Tournaments only after You have determined in good-faith that they are in compliance with state, local and other governing laws and regulations.

The Website is void where prohibited or restricted by law, and Provider reserves the right to monitor the location from which You access the Website and deny access to anyone at its sole discretion.

4.Site Services    Top

GamePlayCash.com offers the Site as a common portal for Users to arrange, record and track Skill based Tournaments, as defined below, and related information, including but not limited to, Skill based Tournament Entrants, fees, pre-designated prizes and Skill based Tournament results.

GamePlayCash.com does not provide the Site or Services for Skill based Tournaments based on sporting or gambling events, including any games of chance. Instead, GamePlayCash.com provides a forum for You to arrange, conduct and track head-to-head tournaments against other Users solely in connection with games of skill.

Post Up Manual Account

All accounts are on Post up Deposit basis ONLY. No credit will be offered by GamePlayCash.com and ALL wagers must be supported by sufficient funds in the customer account. GamePlayCash.com reserves the right to void any bet which may have inadvertently been accepted when the account did not have sufficient funds to cover the wager. Should funds be credited to a customer's account in error it is Your responsibility to inform GamePlayCash.com without delay, GamePlayCash.com will recover such funds by account adjustment. Winnings upon settlement are credited to Your Account balance, enabling You to wager with them.

Withdrawals

  Upon cash out/Cash Out Processing

To initiate a Cash out, select the "Cash Out" option and complete the required form. Your Cash out will normally be processed within three (3) working days.

  Priority of Refund types

For all cash out requests, previous charges on your CREDIT CARD(S) (VISA ONLY) will be credited first. Any balance not eligible for a return to credit card will be sent to you via mailed CHECK or WIRE TRANSFER, based upon Your instructions when You request the cash out.

  Visa Personal Accounts

When funds are refunded back to Your Visa, it will take approximately 2-5 business days to show up on Your credit card statement. If five business days have passed since You requested your cash out, and they still have not shown up on Your statement, please contact the bank who issued you the credit card and ask them if they see a credit pending. If they do not, please let Us know.

  Mailed Cheques

Cheques are mailed registered first class post. If you would like Your cheques sent by courier, please ensure a daytime phone number is provided if a courier delivery is requested. Any charges levied for the postage and/or courier are Your responsibility

  Wire Transfer

Allow 2-5 banking days for your funds to arrive. Any bank charges levied by correspondent banks in transit or your bank to receive the wire are your responsibility. For banking instructions, please contact our Customer Service.

Bonus

The withdrawal of any bonus can be made only when the amount of the offered bonus had been collected in service fee.

 

6.User Skill Account    Top

In order to participate in any Tournament on the Site, You will need to create an Account. Sign up is free there is no need to deposit money to create Your account.

Entry into certain Tournaments may be dependent upon the number of Tournaments completed, the number of Tournaments won or specific Tournament rules. Provider reserves the right to reject or revoke Your Account at its discretion for any reason.

Your establishment of a Skill based Tournament Account (or “User Account”), including any User name or other information ("Your User Account"); any subsequent log-in to Your Skill based Tournament Account ("Log-in"); or any access, entry or participation in any Skill based Tournament, contest, tournament, promotion, event or the like (collectively, "Skill based Tournament" or "Skill based Tournaments") facilitated by or associated with the Site in any way signifies Your constructive and actual notice and knowledge of and Your agreement to be bound by the most current version of the Terms as posted on the Site. If you do not wish to be bound by this Agreement, do not establish a Skill based Tournament Account, and do not use the Site or Services or participate in any Skill based Tournaments. If you have already established a Skill based Tournament Account and you do not wish to continue to be bound by this Agreement, you should terminate Your Skill based Tournament Account in accordance with Section 7 of this Agreement.

From time to time, GamePlayCash.com may define and post on the Site additional GamePlayCash.com Skill based Tournament specific terms, codes of conduct or guidelines that govern such specified Skill based Tournament. In the event of a discrepancy between these Terms and any other writing posted on the Site by GamePlayCash.com, including the Rules located at http://www.GamePlayCash.com/Rules.php and the Privacy Policy located at http://www.GamePlayCash.com/Privacy.php these Terms shall control. In no way shall this provision be construed to incorporate, acknowledge or make any recommendation regarding third-party Terms and Conditions, for example, terms and conditions that may govern Your use of any third-party equipment, games or content. It is solely Your responsibility to ensure that Your use of any and all third-party equipment, games or content is in compliance with any and all third-party requirements.

You may only have one (1) User Account. You are prohibited from holding more than one Account. Your single Skill based Tournament Account must be registered under Your current full legal name, Your email address and Your current permanent residential address. GamePlayCash.com reserves the right to ask You for documentary evidence attesting the veracity of Your Identity and You hereby agree to submit such evidence to GamePlayCash.com. Should You attempt to create more than one (1) Skill based Tournament Account under Your current legal name or any other name, to use the Services under any other User's Skill based Tournament Account, or to create an Account using a name other than Your current legal name, we will be entitled to immediately terminate all of such Skill based Tournament Accounts under Section 7 of this Agreement and any monies deposited with GamePlayCash.com shall be forfeited in favour of GamePlayCash.com.

You must choose a Log-In and password during Account registration. You are solely responsible for all actions taken using Your Log-In and password. You must make every effort to keep Your password safe and should not disclose it to anyone. You shall not permit, either directly or indirectly, any other person to use Your Log-In or password. We are not responsible for any losses or problems You suffer as a result of Your disclosure of Your Log-In or password information to anyone else. If You forget Your details or believe that they may have been compromised, then please contact Our customer service, so that We can issue You with a new one, subject to any security verification which You may be asked to submit.

You agree and understand that We collect data relating to Your Log-In, Your Skill based Tournaments, and Your other Account activity, including without limitation, Your Skill based Tournament Results (e.g., Your win/loss record), Entrants You have previously participated in a Skill based Tournament with, Your Disputed History and the Prizes awarded to You. We make this information public so that other Users may attempt to assess Your skill level and history using the Site to arrange, enter, establish, and participate in Skill based Tournaments against You and/or other Users.

GamePlayCash.com reserves the right to conduct a review, at any time, to validate Your Skill based Tournament Account information, to ensure that Your participation in the GamePlayCash.com Skill based Tournaments and Your financial transactions do not breach this Agreement and/or any applicable law. You authorize us and our authorised agents to make any inquiries of You and for us to use and disclose to any third party we consider necessary to validate this information, including but not limited to, credit reports and information in third-party databases. To facilitate the foregoing validation, You agree to provide sufficient information or documentation as GamePlayCash.com, in its discretion, may request. If you do not provide such information within thirty (30) days of our request, your responses are incomplete or otherwise insufficient, or GamePlayCash.com cannot verify the information applicable to Your Skill based Tournament Account, Your User Account will be terminated pursuant to Section 7, and all funds remaining in Your Skill based Tournament Account will become forfeited.

GamePlayCash.com may impose amount limitations on the Account transactions in which You engage to fund Your activities on the Site. GamePlayCash.com may also impose limitations on the net amount You may lose on Site in any calendar month; should Your losses reach the designated limit, Your play in the Tournaments offered on the Website will be restricted until the beginning of the next calendar month. The Site reserves the right to change these amount limitations at any time.

7.Prohibited Use    Top

Illegal Funds

By entering into this Agreement into this Agreement and using the Site Services, You declare that the source of funds used by You on the Site is not illegal and that You will not use the Site or Services in any way as a money transfer system. You will not use the Service for any unlawful activity or prohibited transaction under the laws of any jurisdiction that applies to You. If the Company suspects that You may be engaging in or have engaged in fraudulent, unlawful or improper activity, including without limitation, money laundering activities, Your access to the Service may be suspended or terminated immediately and/or Your Account blocked, and the Company shall be entitled to inform relevant authorities. You will cooperate fully with the Company to investigate any suspected unlawful, fraudulent or improper activity.

Collusion

Collusion occurs two or more Users attempt to gain an unfair advantage by sharing knowledge of the Skill based Tournaments or other information to other Users' disadvantage. Any User who attempts to collude or colludes with any other User while using the Service may be permanently banned from using the Service and their Account may be terminated immediately. The Company will use commercially reasonable efforts to investigate complaints registered against Users suspected of collusion. If the Company is informed during play about suspected collusive behaviour, it may, in its sole discretion, terminate suspected Users' access to the Service and/or block their Accounts. However, under no circumstances shall the Company be liable for any loss, whatsoever, sustained by You as a result of the collusive, or otherwise unlawful activity of any person using the Service and no User shall have the right to require the Company to take any other steps against Users suspected of collusion, cheating or any other form of fraud.

Abuse

By entering into this Agreement, You agree that You will not use any technique other than pure skill during a Skill based Tournament. Such techniques may include, but are not limited to, establishing multiple Accounts, the use of program codes or commands or any adapted hardware or software to assist play, the use of “robot” players, the impersonation of another User or Account, or deliberately losing games for the purpose of getting a competitive advantage. For a more exhaustive discussion of prohibited techniques, refer to the Skill based Tournament Rules located at http://www.GamePlayCash.com/Rules.php.

Abortion / Termination of Games

Whilst all endeavours are made to ensure a continuation of service, You accept that there may be an interruption of services, and GamePlayCash.com does not warrant that the operation of the Site will be uninterrupted or error free or secure or that any defects are correctable or will be corrected. The entire risk as to the use, quality and performance of the products and the software lies with you.

It is therefore possible that the Skill Games to be aborted / terminated prematurely without any determinate winner. The deliberate abortion / termination of Games shall not be tolerated under any circumstance.

GamePlayCash.com shall investigate any report of abortion / termination of any Skill Game offered on the Site. Where such abortion / termination is deemed to have been caused by circumstances independent of the will, volition and reasonable control of the players, all efforts shall be made to continue the Game. Where such continuation is not possible, the Game shall be automatically terminated and the funds returned to the players’ respective accounts stato quo ante.

8.Termination    Top

GamePlayCash.com reserves the right to terminate the account of any player who deliberately aborts / terminates the games. Likewise, deliberate stalling of the game shall not be tolerated.

Generally

You may terminate Your Skill based Tournament Account at any time by giving us thirty (30) days prior written notice to the e-mail address termination@GamePlayCash.com.

We expressly reserve the right to terminate Your Skill based Tournament Account (including Your Log-In and password) for any reason, including without limitation, violation of any terms or conditions of this Agreement, or if You have breached any of the Terms, or Your use of the Services have been in any way improper or breach the spirit of this Agreement.

If Your Skill based Tournament Account is terminated by either You or us, We will pay You the balance outstanding in Your Account, except in case We terminate your User Account because of cheating and notwithstanding express provisions to the contrary as set forth herein.

Termination for Violation of Terms

If We terminate Your Skill based Tournament Account for violating any of the Terms, in addition to the Withdrawal Fee, a Termination Fee will be subtracted from Your Account. The Termination Fee is 10.00 Euros.

Termination for Inactivity

If Your Skill based Tournament Account has a balance less than or equal to 10.00 and Your Account experiences no activity for ninety (90) consecutive days, Your Account will be automatically terminated, and the balance in Your Skill based Tournament Account will be considered an administrative charge and will immediately become property of GamePlayCash.com.

If Your Skill based Tournament Account has a balance greater than 10.00 Euros , upon ninety (90) consecutive days of inactivity, a 10.00 Euros administrative charge will be deducted from Your Account. For every subsequent thirty (30) consecutive days of inactivity, a 5.00 Euros administrative charge will be deducted from Your Account.

You can avoid Termination and the Termination fee that may arise from latency by notifying Us, in writing, before the foregoing sixty (60) day latency occurs. Written notification under this section should be directed to termination@GamePlayCash.com.

9.Privacy and Protection of Information    Top

We do not sell or rent Your personal information to third parties for their marketing purposes without Your consent. We use Your information only as described in the GamePlayCash.com Privacy Policy. We view protection of Users' privacy as a very important community principle. We store and process Your information on computers located in the U.S. that are protected by physical as well as technological security devices. You can access and modify the information You provide us and choose not to receive certain communications by signing-in to Your Account. For a complete description of how We use and protect Your personal information, see the GamePlayCash.com Privacy Policy. If You object to Your information being transferred or used in this way please do not use our Services.

GamePlayCash.com may collect User e-mail addresses. You hereby consent to receive communication from GamePlayCash.com and any affiliated party by e-mail. Such communication may include marketing information, updates about the services provided on this website, or other information.

User acknowledges and agrees that the Privacy Policy attached to this Agreement, including, but not limited to, the manner in which Provider collects, uses and discloses User's personally identifiable information, is incorporated and made part of these Terms and Conditions. If User does not agree to each and every part of Provider's Privacy Policy, then User should not use the Website or submit any personally identifiable information through this Website.

10.Disclaimer of Warranties and Limitation of Liability    Top

THE SITE, INCLUDING THE SERVICE, IS PROVIDED BY PROVIDER ON AN "AS IS" AND "AS AVAILABLE" BASIS.

GamePlayCash.com has no obligation to check whether Users are using the Site services in accordance with this Agreement or any other agreement.

Under no circumstances shall GamePlayCash.com be obligated to investigate or pursue any complaints made by a User against any other User using the Site or services or to take any other action in connection therewith, or take any action against a User for any reason, including without limitation, for violating the terms of this Agreement. GamePlayCash.com may, in its sole discretion, decide to take appropriate action against any person it suspects to be engaging in any unlawful activity or otherwise violating the terms of this Agreement, but is under no obligation to do so.

You will not be entitled to a refund from the Company for any sums You believe to be owed to You as a result of any other User's misconduct, unlawful behavior or otherwise, whether or not the Company pursues any action against such User. It is Your sole responsibility to resolve such issues without involving GamePlayCash.com.

As Our maximum liability for any violation of this Agreement, You can recover from Us only direct damages up to an amount equal to Your most recent GamePlayCash.com Service Fee. You cannot recover any other damages, including consequential, lost profits, special, indirect or incidental damages. This limited remedy applies to any matter related to the Site even if this remedy does not fully compensate Your for any losses, and whether or not We knew or should have known about the possibility of damages.

User expressly agrees that use of the Site and service is at User's sole risk. Neither GamePlayCash.com nor any of its officers, directors, or employees, agents, merchants, sponsors, licensors, component suppliers (both hardware and software), and/or any third party who provides products or services purchased from or distributed by GamePlayCash.com (collectively "Providers"), or the like, warrant that websites affiliated with GamePlayCash.com, including but not limited to the Site, will be uninterrupted, error-free, or free of viruses, worms, Trojan horses, keyboard loggers, spyware, adware, malware, harmful or malicious code, or other defects.

The information, products and services published on the Site may contain inaccuracies or typographical errors. Provider makes no warranty as to the results that may be obtained from the use of the Site, including Users participation in any Tournament on the Site, or as to the accuracy, reliability, or currency of any information content, service, or merchandise provided through the Site. Furthermore, GamePlayCash.com shall not be responsible for any opinions, views, advice or statements posted on the service (including, without limitation, in any public posting areas of the service) by any person or entity other than an authorized GamePlayCash.com spokesperson. advertisers, content providers, User, guests, independent writers and experts are not authorized Provider spokespersons. At no time should the opinions, views, advice or statements provided by advertisers, content providers, User, guests, independent writers or experts be relied upon for important personal decisions without independent verification.

If You are dissatisfied with any portion of the Site, Your sole and exclusive remedy is to discontinue Your use of the Site.

11.Intellectual Property Rights    Top

When You submit any information, Content, feedback or ratings (collectively, "Submissions"), You grant us a non-exclusive, worldwide, perpetual, irrevocable, royalty-free, sub-licensable (through multiple tiers) right to use such Submissions and to exercise the related copyright, publicity, and database rights You have in the Submissions, in any media known now or in the future. (We need these rights to host and display Your Submissions.)

You may not copy, download, modify or create derivate works, rent, lease, loan, distribute, re-use, adapt, publish, transmit, attempt to decompile, decipher, disassembly, reverse engineer, decrypt or otherwise use or exploit any software or other works or content from the Site unless We have expressly allowed You to do so. You agree that all proprietary rights, including all trademark, copyright, patent or trade secret rights, inherent in such software, works and content is owned by Us or applicable third parties.

If You believe that the Site or any software, work or content on the Site infringes any copyright, trademark, patent, trade secret or other intellectual property right, or if You have other material concerns regarding the Site, privacy or the like, You may notify our designated agent by writing to legal@GamePlayCash.com.

The terms GamePlayCash.com and GamePlayCash.com are the trademarks, service marks and/or trade names of GamePlayCash.com. You obtain no rights in such copyright material or trade or service marks and must not use them without the GamePlayCash.com written permission.

Trademarks

GamePlayCash.com and/or its affiliates own the GamePlayCash.com trademark for its services, including, without limitation the associated graphics, tagelines, logos and service marks, are trademarks of GamePlayCash.com and/or its affiliates and may not be used without prior written consent of GamePlayCash.com. All other trademarks, product names, and company names and logos appearing on the Website are the property of their respective owners, including, without limitation, Microsoft Xbox; Sony Playstation, and Nintendo Wii (“the Labels”) and You obtain no rights in such trade or service marks of the Labels.

12.Third Party Links    Top

18.Arbitration    Top
